Governance
Good governance is a core principle on which ETX Capital is built and the Directors aim to comply with or exceed the principles and provisions of the Combined Code. Accordingly, and in addition to the Board of Directors, there are four further Board committees; Risk, Audit and Compliance, Nominations and Remuneration, and Executive. Each Board Committee operates under a Terms of Reference approved by the Board. All other committees required for the effective management and operation of the business and ensuring that the Company meets its statutory and legal responsibilities or obligations are sub-committees of the Executive Committee. The Executive Chairman reports formally to the Board, at each Board meeting, providing a summary of the key decisions or actions of the Executive Committee and its sub-committees since the previous Board meeting.
Risk Committee
The Risk Committee provides oversight of, and advises the Board on; risk exposure; capital and liquidity management; and the Internal Capital Adequacy Assessment Process (ICAAP).

Audit and Compliance Committee
The Audit & Compliance Committee provides oversight of, and advises the Board on; accounts and policies; internal controls; compliance and internal audit.

Nomination and Remuneration Committee
The Nomination and Remuneration Committee provides oversight of, and advises the Board on; compliance with the FSA Remuneration Code; framework / broad policy for the remuneration of executives and business critical personnel; and on the nomination and appointment of Executives and senior level employees.

Executive Committee
The Executive Committee is responsible for the day-to-day management of the business within the authorities agreed by the board.
